1. CONTRACT

1.1. We must receive payment for the whole price of the order before your order can be accepted. Your payment of the price for the goods represents an offer on your part to purchase the goods.

1.2. We will send you an order acknowledgement email detailing the products you have ordered. This is not an order confirmation or order acceptance from us.

1.3. Order acceptance and the completion of the contract between you and us will take place on the despatch to you of the products ordered unless we have notified you that we do not accept your order.

1.4. Non acceptance of an order may be a result of one of the following;

  • The product you ordered being unavailable from stock;
  • The identification of a product or pricing error;
  • Our inability to obtain authorisation for your payment.

2. CONTENT

2.1. We reserve the right to vary our prices, product descriptions and website content whenever necessary.

2.2. Images are for illustration purposes only and products may occasionally vary in size, shape or colour.

2.3. Any re-use or copying of the material on the website www.clearancewholesale.co.uk is strictly prohibited.

3. ORDERING & AVAILABILITY

3.1. Prices shown are all excluding VAT and shipping.

3.2. Products are sometimes out of stock and we cannot guarantee 100% stock availability at all times.

3.3. Orders that contain items that are out of stock at the time of order will be sent out without those items. In this instance, we will cancel the part of the order that we cannot immediately fulfil and issue the appropriate partial refund onto the card used to make the purchase.

3.4. If we do not have all or enough of the product that you require, we can provide an update on availability and forecasted shipping dates.

4. PRICES & PAYMENT

4.1. Prices displayed do not include delivery costs. For delivery details please refer to the delivery Information.

4.2. The displayed prices are excluding VAT. However, once you get to the checkout, VAT will always be added where appropriate and shown separately.

4.3. Payment is taken at the point of checking out, we do not offer Credit Accounts at present. Payment can be made via PayPal.

4.4. Countries within the Channel Islands are VAT Exempt. Once you have checked out, please contact us on 01472 210 829 and the VAT element will be refunded to you.

4.5. Countries within the EU that are VAT registered are VAT exempt. Please provide us with your VAT number prior to shopping so that we can ensure the VAT element is removed from your order.

5. SHIPPING

5.1. We ship inside the UK mainland only. If you are outside the UK mainland please contact us before purchasing.

5.2. You are responsible for ensuring that all the details you give are correct, as we cannot be held liable for any mis-delivery arising out of incorrect information that you have provided.

5.3. Orders received by 12 noon and on a weekend will be despatched the following working day. We will send you an email with your invoice attached on the day that we despatch your order.

Goods supplied will normally be delivered within the following number of working days from despatch:

Mainland UK within 48 working hours.

Delivery times are not binding.

5.4. Delivery usually takes place between 9am and 6pm, Monday to Friday. Please note that some delivery drivers may operate outside these times and we are currently unable to accept specific requests for times or days. Deliveries are made by a tail lift lorry, and therefore you must ensure that we have suitable access and are able to stop and unload safely.

We despatch large orders by the pallet, this will be wrapped and covered on top. If there are any signs of damage to the wrapping, contents or pallet itself, please notify us immediately on 01472 210 829 and note this on the delivery manifest.

Deliveries are made by a tail lift lorry, and therefore you must ensure that we have suitable access and that the driver is able to stop and unload safely outside the premises. Please ensure there is someone available to sign for and unload the delivery, using your own equipment where necessary. Once unloaded it is your responsibility to get the goods inside your premises.

Please ensure that all the details you give are correct as we cannot be held liable for any mis-delivery arising out of incorrect information that you have provided.

5.5. It is possible to collect an order from our warehouse in Grimsby, free of charge. Place your order online, by telephone or in the showroom and choose the collect from warehouse option. You must pre-arrange collection by contacting us and organising an appropriate time. Orders must be collected with 72 hours of placing a confirmed order.

6. LIABILITY

6.1. Risk of damage to or loss of the goods passes to you at the time of delivery to you, or if you fail to take delivery at the agreed time, the time when we tried to deliver.

6.2. Goods do not come with any warranty or guarantee whatsoever other than implied by law for business to business sales.

6.3. Orders can consist of more than one box or pallet. Ensure you check the delivery note and sign for the correct amount.

6.4. Any external signs of damage caused in transit must be noted on the delivery note and reported to customer services immediately. If you suspect significant damage has been caused, do not accept the delivery.

7. RETURNS

7.1. We do not accept returns of non-faulty items.

7.2. We operate a 5% margin for broken or faulty goods.

7.3. Any shortages or damages, above 5%, must be reported to us within 24 hours. All claims shall be deemed to be waived and absolutely barred if they fall outside these timescales.

7.4. Damaged and faulty items must be returned to us for inspection at your own cost. You are responsible for the handling and shipping of the contents of your return.

7.5. On receipt of any returned goods that are claimed to be damaged, we will inspect the products and determine if any liability can be accepted.

7.6. Liability shall never exceed the value of the goods.

8. AMENDING OR CANCELLING AN ORDER

8.1. Orders received by us are processed immediately and go straight into our warehouse to be picked. We regret that, once you have placed your order, we cannot cancel or amend it unless under extreme circumstances. Any changes or cancellations will incur an administration charge.

9. FORCE MAJEURE

9.1. We are not liable for any delay or failure to perform any of our obligations if the delay or failure results from events or circumstances outside our reasonable control, including but not limited to acts of God, accidents, war, fire, strikes, lock outs, failure of any communications including telecommunications or computer systems, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and we shall be entitled to a reasonable extension of its obligations.

10. INVALIDITY & SEVERANCE

10.1. Each clause or any part at all of this agreement is to be regarded as independent of the others. This means that should any clause or any part at all of this agreement be found to be unenforceable or invalid it will be severed and will not affect the enforceability or validity of the rest of this agreement.

11. DATA SECURITY

11.1. We will collect, process, and/or use the information provided by you ("Personal Data") for the purposes of administering and performing the customer contract with us, general and long-term customer care and personalised customer service, as well as sales promotion, market and opinion research activities (by mail and electronic communications).

11.2. The personal data provided by you at the beginning of, or during the course of business dealings shall be processed and, in particular, stored in compliance with the provisions of the United Kingdom's Data Protection Act 1998 and the European Union's General Data Protection Regulation (GDPR).

11.3. You have the right to access and review your Personal Data at any time and to request that your Personal Data be corrected, amended, deleted, or blocked.

11.4. You may withdraw your consent at any time.

11.5. Personal Data shall not be passed on to third parties. Excluded are our service partners, which need the transmission of data for the handling of your order (e.g. parcel-service or bank). In this case however the passing of data is limited to the necessary minimum.

12. AGE RESTRICTED ITEMS

12.1. Under UK law you must be aged 18 or over to purchase any of our kitchen, craft and DIY knives. By agreeing to our Terms & Conditions, you are confirming that you are 18 years of age. Please note that we may contact you for proof of age.

13. RISK & TITLE OF GOODS

13.1. Risk of damage to or loss of the Goods shall pass to the Customer at the time of delivery to the address provided by the Customer to the Company when the order is placed, or some other such address as may be agreed between the parties from time to time, save in the following situations: if the Customer wrongfully fails to take delivery risk shall pass to the Customer at the time when the Company has tendered delivery of the Goods; if the Company is not responsible for the delivery of the Goods risk shall pass at the point when the Customer or a representative of the Customer collects the Goods from the Company's registered office. Ownership of the Goods shall not pass to the Customer until the Company has received in full in cleared funds all sums due to it in respect of: the Goods; and all other sums which are or which become due to the Company from the Customer on any account. Until ownership of the Goods has passed to the Customer, the Customer shall:- hold the Goods on a fiduciary basis as the Company's bailee; store the Goods (at no cost to the Company) separately from all other goods of the Customer or any third party in such a way that they remain readily identifiable as the Company's property; not destroy, deface or obscure any identifying mark or packaging on or relating to the Goods; and maintain the Goods in satisfactory condition and keep them insured on the Company's behalf for their Price against all risks to the reasonable satisfaction of the Company. On request the Customer shall Produce the policy of insurance to the Company.

13.2. Until such time as the title in the Goods passes to the Customer if Goods are destroyed by an insured risk prior to the same being paid for by the Customer, the Customer shall receive the proceeds of any such insurance as trustee for the Company.

13.3. The Customer shall be entitled to resell or use the Goods in the ordinary course of business before ownership has passed.

13.4. Until such time as the title in the Goods passes to the Customer, the Company shall be entitled at any time to require the Customer to deliver up the Goods to the Company and if the Customer fails to do so forthwith, to enter upon any premises of the Customer or said party where the Goods are stores and mark, identify and repossess the Goods.

14. RETENTION OF TITLE

14.1. Notwithstanding delivery and the passing of risk, property in and title to, the goods shall remain with the seller until the seller has received payment of the full price of (a) all Goods and/or Services the subject of the Contract and (b) all other goods and/or services supplied by the seller to the buyer under any contract whatsoever. Payment of the full price shall include, without limitation, the amount of any interest or other sum payable under the terms of this and all other contracts between the seller and the buyer.
